Association By Laws

BYLAWS OF THE

CARROLL COUNTY EDUCATION ASSOCIATION

ARTICLE I ‑ NAME

The name of this Association shall be the Carroll County Education Association, or CCEA.

ARTICLE II ‑ AFFILIATION

The Association will maintain affiliation with the Maryland State Teachers Association and the National Education Association through unified membership.

ARTICLE III ‑ PURPOSE

The purpose of the Association shall be:

a.         To work for the welfare of school children, the advancement of education, and the improvement of instruction of all.

b.         To develop and promote the adoption of such ethical practices, personnel policies, and standards of preparation and participation as mark a profession.

c.         To unify and strengthen the teaching profession and to secure and maintain the salaries, retirement, tenure, professional and sick leave, and other working conditions necessary to support teaching as a profession.

d.         To enable members to speak with a common voice on matters pertaining to the teaching profession and to present their individual and common interests before the Board of Education or other legal authority.

ARTICLE IV ‑ MEMBERSHIP

SECTION 1 ‑ CLASSES

The classes of membership in the Association shall be Active and Retired.

SECTION 2 – ELIGIBILITY

a.         Active membership shall be open to any person certified by the State of Maryland who is professionally employed by the Carroll County Board of Education.  This requirement shall not affect the professional personnel who were members of this Association prior to September 1, 1967, and thereafter continue unbroken membership in this Association.

b.         Any former Active Member of the Association who has retired from professional employment shall be eligible for Retired Membership upon payment of the appropriate annual unified dues.

SECTION 3 ‑ RIGHTS, CONDITIONS AND LIMITATIONS

a.         A member of CCEA shall also be a member of the Maryland State Teachers Association and the National Education Association.

b.         The right to run for and hold elective office shall be limited to Active Members.

c.         The right to vote shall be limited to Active Members.

d.         Members shall adhere to the Code of Ethics of the Education Profession.

e.         Any member of the Association who is not a member of the Representative Council may attend its meetings, but shall sit apart from the voting body, and will be required to receive permission to speak.

SECTION 4 ‑ MEMBERSHIP YEAR

The Membership year shall be from September 1 through August 31.

ARTICLE V ‑ DUES

SECTION 1 ‑ SETTING OF DUES

The Association dues shall be set annually at a Representative Assembly meeting as a part of the budget approval process.

SECTION 2 ‑ PAYMENT

a.         Notification of any changes in the amount of dues for the Association shall be made known to the membership by September 7 of each year.

b.         Persons who are professionally employed by the Carroll County Board of Education on a half‑time or less assignment shall be eligible for active membership at the rate of one‑half dues.

c.         Membership in the United Education Profession, i.e. the Carroll County Education Association shall be continuous unless rescinded in a timely written notice by the member.  This notice shall be sent by CERTIFIED MAIL to the Carroll County Education Association TO BE RECEIVED BY SEPTEMBER 1 of any membership year.

            The Association shall print in one or more of its publications a notification of the membership withdraw date in the Spring of that given year. 

            Members electing to pay membership dues by payroll deduction shall have deductions continue from year to year for the dues set annually unless they rescind such authorization in writing to CCEA by CERTIFIED MAIL to be RECEIVED BY SEPTEMBER 1 of any school year. In case of resignation within a school year, the balance of dues for that year will be deducted from the final salary check.

d.         Dues for Active Members may be prorated on the same basis as established by NEA and MSTA.

e.         The annual dues of Retired Members shall be set by the Representative Assembly at a rate commensurate with dues established for Retired Members of NEA and MSTA.  A lifetime membership category shall be established at the one-time cost of $100.00.

ARTICLE VI ‑ ANNUAL MEETING

SECTION 1 ‑ MEETING

A membership meeting will be held at least once each year in conjunction with a regular scheduled meeting of the Representative Assembly.  This meeting will serve as the annual meeting of the corporation.

SECTION 2 ‑ QUORUM

Twenty‑five (25) members shall constitute a quorum for the annual meeting provided there is representation from both the elementary and secondary school levels.

ARTICLE VII ‑ REPRESENTATIVE ASSEMBLY

SECTION 1 ‑ POWERS

The legislative and policy‑forming body of the Association shall be the Representative Assembly.  It shall:

a.      approve the budget,

b.      set the dues,

c.      fill vacancies occurring on the Executive Board,

d.      act on reports of committees,

e.      approve resolutions and policy statements,

f.       adopt procedures for implementing the Code of Ethics of the Education Profession,

g.      establish guidelines to be followed to assure due process for any members disciplined, suspended, or expelled,

h.      adopt such rules governing the operation of the Association, and the conduct of meetings as are consistent with the By‑laws.

SECTION 2 ‑ COMPOSITION AND DUTIES

a.         The Representative Assembly shall consist of the Executive  Board and one or more representatives from each school faculty.

b.         In each public school in Carroll County, faculty members who are in good standing of this Association shall elect for a term of two years one Faculty Representative to the Representative Council for each twenty faculty members or fraction thereof.  There shall be at least one Representative from each building.  Where more than one such Faculty Representative is elected, one shall be designated the Senior Faculty Representative and the terms shall be staggered.  Each faculty shall elect an alternate representative who shall attend Representative Assembly meetings in the event of excused absence of the Faculty Representative(s).  Representatives elections shall be held the first week of school and Representatives shall take their seats in the September meeting of the Representative Assembly.

c.         A building housing only administrative offices shall be considered a school building for the purpose of the Association and shall be entitled to representation in the Representative Assembly as delineated by Article VII, Section 2 b.

d.         Faculty Representatives shall attend the regular meetings of the Representative Assembly.  After two unexcused absences of a Representative, the President, subject to the guidelines developed in SECTION 1 of this Article, may declare the seat vacant and call for a faculty election to fill the seat.  The President may designate an Association member in good standing to organize this special election.

e.         The Faculty Representatives, with their senior faculty representative as chairperson, shall     arrange meetings of the Association members to discuss Association business, shall organize and oversee the subsequent elections of Faculty Representatives, and shall serve as building grievance representatives.

SECTION 3 ‑ MEETING

a.         The Representative Assembly shall meet, wherever possible, on the third Thursday of each school month at a time set by the Executive Board at the August meeting except that the December meeting of the Representative Assembly may be waived with the approval of a majority of there representatives in attendance at the November Representative Assembly meeting.

b.         Special meetings of the Representative Council may be held at the call of the President or upon written request to the Executive Board from five faculty representatives.  Business to come before special meetings must be stated in the call, which shall be sent in writing to each representative.

SECTION 4 ‑ QUORUM

One‑third of the members from at least one‑half of the schools shall be a quorum for the Representative Assembly.

ARTICLE VIII – OFFICERS

SECTION 1 ‑ OFFICERS

The officers of the Association shall consist of the President, the Vice‑President, the Secretary, and the Treasurer.

SECTION 2 ‑ QUALIFICATIONS

The officers of the Association shall be Active Members of the Association in good standing prior to the election and shall maintain their membership in good standing during their term of office.

SECTION 3 ‑ TERMS OF OFFICE

a.         The terms of the President and Vice‑President shall be two (2) years beginning July 1 following their election and shall continue through June 30 of the second year following, in which a successor is elected.

b.         The terms of the Secretary and Treasurer shall be two (2) years beginning Julu 1 following their election through June 30 of the second year following, in which a successor is elected.

c.         The President and Vice-President shall serve no more than three (3) consecutive terms in the office to which elected.

d.         Whenever the office of President shall become vacant between elections (due to death, retirement, resignation, recall, or disability) the Vice‑President shall assume the office, and will serve the remainder of the unexpired term.  Whenever the office of Vice‑President, Secretary, Treasurer or Member-at-large shall become vacant between elections, the Representative Assembly shall elect a replacement to fill the remainder of the unexpired term.  Should no retiree run for office, the seat shall remain vacant until filled.

 

SECTION 4 ‑ DUTIES

a.         President

            The President shall:

1.      preside over meetings of the Executive Board and Representative Assembly,

2.      appoint the chairpersons of standing committees with the approval of the Executive Board, and appoint members to those Committees.

3.      be an ex‑officio member of all standing committees,

4.      attend or insure CCEA representation at Board of  Education meetings, budget hearings, etc.,

5.      represent the views of CCEA to MSTA and NEA,

6.      represent CCEA before the public,

7.      prepare and circulate the agenda for the Representative Assembly in a timely manner,

8.      recommend to the Executive Board the appointment of staff members, and supervise the office staff,

9.      serve as a delegate to MSTA and NEA Representative Assemblies,

10     perform all other functions usually attributed to the office of President.

b.         Vice‑President

            The Vice‑President shall:

1.      serve as "assistant President" helping and supporting the president in all of his/her duties.

2.      assume the role of president when required.

3.      work closely with one or more standing committees as the President may suggest,

4.      be a delegate to the NEA and MSTA Representative Assemblies.

c.         Secretary

            The Secretary shall:

1.      keep accurate minutes and attendance records of all meetings of the Executive Board and Representative Assembly,

2.      submit the minutes to all members of the Executive Board and Representative Assembly.

d.         Treasurer

            The Treasurer shall:

1.      receive, protect, care for, and disburse all funds of the association as duly authorized, and maintain an accurate accounting of same.

2.      keep accurate accounts of the receipts and disbursements,

3.      file a written report with the secretary at each meeting of the Representative Assembly,

4.      prepare an annual financial statement for publication to members as directed by the Executive Board,

5.      keep the President and the Executive Board informed of the financial condition of the Association,

6.      be bonded,

7.      assist the Budget Committee in the [initial] drafting of the annual budget.

SECTION 5 ‑ PARLIAMENTARIAN

The Parliamentarian shall be appointed by the President, subject to the approval of the Executive and Representative Council, to interpret, determine, and insure procedural order of all Association meetings consistent with the Bylaws of this Association and Robert's Rules of Order (most recent revision).

ARTICLE IX ‑ EXECUTIVE BOARD

SECTION 1 ‑ POWER

The Executive Board shall be the Executive body of the Association.  It shall:

1.         provide and implement policies of the Association,

2.         provide for interim direction between meetings of the Representative Assembly,

3.         review the proposed annual budget which shall be presented to the Representative Assembly one month prior to adoption,

4.         approve committee chair appointments made by the president,

5.         expect to serve on one or more standing committees and/or special committees at the discretion of the president

6.         appoint staff members upon recommendation of the president and determine their compensation and benefits.

7.         approve or reject all contract waiver request made under provisions of the Master Agreement.

8.         perform all other activities of the Association not specifically assigned in By‑Laws.

SECTION 2 ‑ COMPOSITION

The Executive Board shall consist of the officers, eight members‑at‑large and one retired member, provided that person was a member of the Association during the five years prior to retirement and is a member of the CCEA Retired Teachers and the MSTA Retired.  The Immediate Past President of the Association shall serve a one year term as an ex-officio, non-voting member of the Executive Board.

SECTION 3 ‑ TERMS OF OFFICE

The Executive Board members‑at‑large and the retired member shall be elected for a term of two years.  Terms of the Executive Board members‑at‑large shall be lternated, with four members being elected in even numbered years and four others in odd numbered years.

SECTION 4 ‑ MEETINGS

The Executive Board shall meet at least one week prior to the monthly Representative Assembly meeting, at the call of the President, or at the request of four members of the Board.

SECTION 5 ‑ ATTENDANCE AT MEETINGS

Executive Board members (including officers) shall be subject to recall provisions if he/she is absent from three or more regularly scheduled Executive Board meetings per fiscal year (August 1 to July 31), without a valid reason.

SECTION 6 ‑ QUORUM

A majority of their members shall be a quorum for the Executive Board and Committees.

ARTICLE X ‑ NOMINATIONS, ELECTIONS, AND ACCREDITATION

SECTION 1 ‑ EXECUTIVE BOARD

The Election Committee shall prepare guidelines for the nomination, election, and accreditation of the officers and the other members of the Executive Board.

Such guidelines shall be presented to the Representative Assembly for review and adoption.  These guidelines shall include, but not be limited to the following:

a.         open nominations by individual members;

b.         provision for the distribution and collection or nominating forms;

c.         provision for publication of the list of nominations in an official publication of the    Association at least (2) two weeks prior to election;

d.         provisions for secret ballot election by the membership;

e.         provisions for distribution, collection and tally of the ballots;

f.          provisions for the election of officers by a majority of the valid ballots cast;

g.         provision for meeting the appropriate requirements of the Constitution and Bylaws of the National Education Association.

SECTION 2 ‑ DELEGATES

Local delegates to the NEA and MSTA Representative Assemblies and the MSTA General Council will be elected in accordance with procedures established by these organizations for elections.

ARTICLE XI – COMMITTEES

SECTION 1 ‑ APPOINTMENT OF STANDING COMMITTEES

a.         The President shall appoint, with the approval of the Executive Board, chairpersons of the following standing committees, and will also appoint members of those committees:

1.   Professional Rights and Responsibilities PR&R/Grievance

2.   Public Relations

3.   Instruction and Professional Development (IPD)

4.   CE‑PAC/Legislative

5.   Human Rights in Education

6.   Elections

7.   Membership

8.   Scholarship

9.   Budget

b.         Committees shall be appointed for a period of one year

c.         Any member so appointed may be removed by the President, with the approval of the Executive Board.

SECTION 2 ‑ SPECIAL COMMITTEES

Each year the President with the approval of the Executive Board, may appoint a Negotiations Committee, a Resolutions Committee, a Special Services Committee, an Audit Committee, and such other special committees as may be necessary, and shall discharge them upon completion of their duties.  These committees shall operate according to rules approved by the Representative Assembly.  No member of the Executive Board shall serve on the Audit Committee.

SECTION 3 ‑ RESPONSIBILITIES

Each committee shall choose a secretary who shall keep a continuing record of activities.  Chairpersons shall report as necessary to the Representative Assembly and shall prepare an annual written report summarizing objectives, action programs, gains, unreached goals, which the Executive Board shall distribute to the members and which shall become a part of the continuing committee record in the association files.

ARTICLE XII – RECALL

SECTION 1 ‑ REASON FOR RECALL

An officer or member of the Executive Board shall be subject to recall for alleged gross negligence of the duties defined in the Bylaws, or incapacity.

SECTION 2 ‑ INITIATION

a.         Whenever a majority of the Executive Board members shall agree that an officer or member of the Executive Board has been grossly negligent of the duties defined in the by‑laws, or, is incapacitated, they shall initiate the recall procedure.

OR

b.         A petition signed by a number of members equal to at least ten (10) percent of the general membership as of the preceding June 30 may be filed with the Elections Committee to initiate the recall procedure.

SECTION 3 ‑ PROCEDURE

a.         Upon receipt of the petition, the Elections Committee shall verify the signatures.

b.         Within thirty (30) days of receipt of valid petitions, or an Executive Board recommendation, the Elections Committee shall prepare and mail ballots to members of the Representative Assembly within guidelines established by the Election Committee and approved by the Representative Assembly.

c.         If the Representative Assembly so votes by a 2/3 majority to support the Executive Board recommendation, or the petition for recall, the office becomes vacant, and it shall elect a replacement at the following meeting of the Representative Assembly to fill the unexpired term.

ARTICLE XIII ‑ RULES OF ORDER

Unless inconsistent with these Bylaws, Robert's Rules of Order, latest revision, shall prevail at all the meetings of the membership, Executive Board, and Representative Assembly.

ARTICLE XIV ‑ AMENDMENTS

SECTION 1 ‑ INITIATION

a.         Amendments to the Bylaws may be initiated by any member by:

1.    a petition signed by at least ten (10) active members,

2.    a majority vote of the Executive Board,

3.    a majority vote of the Bylaws Committee.

b.         A proposed amendment shall be submitted in writing to the Bylaws Committee no later than 30 days preceding the Representative assembly at which such amendment is to be acted upon.

SECTION 2 ‑ PREPARATION

a.         Amendments initiated by members or the By‑Laws Committee shall be presented to the Executive Board for study.

b.         The text of the proposed amendment shall be sent to Faculty Representatives two calendar weeks in advance of the Representative Assembly meeting at which a vote is to be taken.

SECTION 3 ‑ ACTION

a.         The Bylaws may be amended by a two‑thirds vote of those delegates voting, provided a quorum is present.

b.         Unless otherwise provided, all amendments shall take effect  immediately following the meeting at which they were adopted.
